In no event shall NextGen Noise be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; (iii) any content obtained from the Site; or (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not NextGen Noise has been informed of the possibility of such damage.
You agree to defend, indemnify, and hold harmless NextGen Noise and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any third-party right.
NextGen Noise may terminate your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately.
